Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rivach website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the services.

1. Services

Rivach provides software engineering, product strategy, and AI integration services ("Services"). The specific details, deliverables, and timelines for any project will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA).

2. Intellectual Property

Unless otherwise stated in a specific client agreement:

  • Rivach IP: All pre-existing intellectual property, frameworks, libraries, and tools owned by Rivach remain the sole property of Rivach.
  • Client IP: All deliverables created specifically for the Client under a paid engagement shall be the property of the Client upon full payment of fees.

3. Confidentiality

We acknowledge that in the course of performing Services, we may have access to your Confidential Information. We agree to hold such information in strict confidence and not to disclose it to any third party, except as required by law or as necessary to perform the Services.

4. Limitation of Liability

To the maximum extent permitted by law, Rivach shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

6. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
